4. Samples and Product Approval
Samples may be provided for product evaluation and testing. Unless otherwise agreed in writing, sample shipping costs are generally borne by the customer.
Customers are responsible for reviewing and approving samples for suitability before confirming bulk production or shipment.
5. Inspection and Claims
Customers must inspect goods promptly upon delivery. Any claim regarding quantity, packaging, or product quality must be submitted in writing within 7 calendar days of receipt.
If no written claim is submitted within this period, the goods will be considered accepted.
6. Natural Product Variations
Matcha is a natural agricultural product. Minor variations in color, aroma, taste, or harvest characteristics may occur between batches or seasons. Such variations do not constitute a defect where the product remains within agreed specifications.
7. Private Label, OEM, and Packaging Compliance
For private label, OEM, or custom packaging projects, the customer is responsible for reviewing and approving all packaging content, including product claims, labeling, language, and market-specific legal compliance.
Matcha OEM Factory is not responsible for legal or regulatory issues arising from customer-approved artwork, claims, or local compliance requirements.
8. Intellectual Property and Confidentiality
All website content, including text, images, branding elements, and product materials, remains the property of Matcha OEM Factory unless otherwise stated. Unauthorized copying, reproduction, extraction, or commercial use is prohibited.
Any confidential information shared during OEM or custom development discussions will be handled as confidential, subject to any separate NDA or written agreement between the parties.
9. Storage and Handling
Our quality commitment applies to products stored and handled under appropriate conditions. Matcha OEM Factory is not responsible for product deterioration caused by improper storage, excessive heat, moisture, light exposure, or mishandling after delivery.
10. Limitation of Liability
To the fullest extent permitted by law, Matcha OEM Factory will not be liable for any indirect, incidental, special, or consequential losses, including loss of profit, business interruption, shipping delays, customs clearance issues, or events beyond our reasonable control.
Customers are responsible for ensuring that imported products comply with the laws, labeling rules, and food regulations of their target market.
11. Governing Law
These Terms & Conditions are governed by the laws of the People’s Republic of China, unless otherwise agreed in writing.
Any dispute arising from these terms or related business transactions should first be resolved through good-faith negotiation. If no resolution is reached, the dispute may be submitted to the appropriate court or arbitration body in Shanghai, China.
